The Vision...

Women, vested with the missionary legacy of the Belgian founder, Mother Marie Louise de Meester, have graduated in continuous waves from St. Theresa's College, Quezon City since 1952.

 

Imbued with the founder's deep sense of mission spirituality and the quest for truth of St. Theresa of Avila, these women have committed themselves to make a difference in society in keeping with the motto of St. Theresa's College:

Theresians, through St Theresa's Alumnae Association (STAAQC), seek to:

  • Nurture and support one another's needs and growth;
  • Contribute to the health, environmental, social reform and transformation of society.
  • Provide a venue for national and global communication among its members.

ARTICLE I - NAME AND NATURE

The name of this association shall be St. Theresa's Alumnae Association Quezon City. The acronym STAAQC shall be used to refer to the Association. It is a non-profit, non-stock Association.

ARTICLE II - OBJECTIVES

Section 1 The STAAQC aims to achieve the following objectives:

  1. To provide opportunities for the alumnae to develop and maintain close relations with the school and with one another.
  2. To provide spiritual and moral support to its members.
  3. To involve the alumnae in the school's effort to implement its mandate.
  4. To organize socially-oriented programs that will serve as opportunities for personal and professional growth among alumnae members.
  5. To receive and/or manage funds, donations and other assets and resources from governmental and private sources, entrusted or given to the Association for its lawful operation.

ARTICLE III - MEMBERSHIP

Section I Membership - There are two kinds of memberships in the STAAQC:

  1. Regular Member - A graduate of St. Theresa's Quezon City from the Grade School, High School or College departments.
  2. Associate Member - A Theresian who has studied a minimum of one school year at STCQC. An elementary, high school or college graduate of St. Theresa's College Manila, Cebu or Baguio.

Section 2 Privileges - Both memberships enjoy the same privileges. However, only the regular members may be elected as officers and have the authority to elect their respective class representatives.

Section 3 Membership Dues - To maintain active membership, a member may either pay an annual membership fee or a lifetime membership fee.

Section 4 Annual Meetings - The Annual Meeting of the batch representatives shall be held each year in July.

Section 5 Quorum - Twenty six batch representatives in the Annual Meeting shall constitute a quorum for purposes of conducting business.

Section 6 Proxy - If a batch representative is unable to attend the Annual Meeting, the batch may request for a proxy to represent their batch.

ARTICLE IV - THE ALUMNAE BOARD

Section 1 Board Membership - The STAAQC shall be governed by a qualified volunteer Working Committee which shall be known as the Alumnae Board. The Board shall be composed of fifteen (15) volunteers. A maximum of two (2) representatives per batch may sit on the Board.

Section 2 Qualifications - Each member must be:

  1. An active member of an STAAQC Committee and/or activities.
  2. Willing to serve for three (3) years.
  3. A resident of the Philippines
  4. The member must not have been found guilty of any crime by a court of competent jurisdiction.

Section 3 Selection of Board Members - New Board members shall be selected by the Board upon the recommendation of the Executive Committee.

Section 4 Quorum - The members of the Board shall act collectively. A majority of the members shall be necessary to constitute a quorum to conduct business. The decisions of the majority of the quorum shall be valid as an act of the Association.

Section 5 Powers of the Board - The STAAQC Alumnae Board shall have the following powers, functions and duties:

  1. To be in charge of and be responsible for all the affairs and activities of the Association.
  2. To establish rules and regulations for the management of the Association.
  3. To maintain a complete record of all the meetings and the activities of the Association and present this to the members during the Annual Meeting.
  4. To call meetings of members when necessary.
  5. To raise funds and to look for other sources of income.
  6. To create and constitute committees as may be necessary for the proper conduct of the activities of the Association.
  7. To authorize and approve all expenditures.
  8. To hire employees as may be necessary.
  9. To perform such other functions and duties as may be authorized by the general membership.

Section 6 Term of Office - Each Board Member shall sign and execute, upon assumption of office, a Pledge of Commitment to serve for a minimum of three (3) years.

Section 7 Termination, Resignation, Incapacity and Removal - A Board Member loses membership in the Board on the following:

  1. Loss of any of the qualifications provided in this Article.
  2. Incapacity for whatever reason.
  3. Three (3) absences from regular meetings without any valid excuse within an academic year
  4. Commission of any act seriously detrimental to the interest of the Association, such as but not limited to malfeasance, immorality or the commission of any serious crime; provided that, in the competent jurisdiction.
  5. Other analogous grounds.

Section 8 Vacancies - Any vacancy occurring in the Board may be filled through the selection process described in

Article IV Section 3.

Section 9 Meetings - Regular meetings of the Board shall be held quarterly. Representatives of the Homecoming Committee shall be invited to update the Board on their plans.

Section 10 Special or Emergency Meetings - Special or emergency meetings may be called as required by the Chairperson or upon petition of one-third (1/3) of the Members of the Board.

ARTICLE V - THE OFFICERS

Section 1 Officers - The Officers of the Board shall consist of a Chairperson, a Vice-Chairperson, a Secretary, a Treasurer, an Auditor and such other officers as the STAAQC Alumnae Board may elect from among its members.

Section 2 Election and Term of Office - All Officers of the Board shall be elected by the Board Members and shall hold office for three (3) years and may be reelected for an additional term. They may serve in the same office as officers for a maximum of two (2) terms.

Section 3 Schedule of Election - The election of Officers shall be held in March of each year during the first quarterly meeting.

Section 4 Outgoing Chairperson - The Outgoing Chairperson shall serve as ex-officio member of the Board for one year, for continuity. After a year as ex-officio Board Member, the former Chairperson becomes a member of the Advisory Council.

Section 5 Vacancies - Any vacancy occurring in the Officers other than removal by the Board or by expiration of term may be filled by the vote of the majority of the Board Members at a regular or at any special meeting called for the purpose.

ARTICLE VI - THE EXECUTIVE COMMITTEE

Section 1 Membership - The Officers of the Board shall constitute the membership of the Executive Committee.

Section 2 Meetings - Meetings of the Executive Committee will be convened as required to act on matters of immediate concern.

Section 3 Powers - The Executive Committee will proactively search for potential members of the Board.

ARTICLE VII - FUNCTIONS AND DUTIES OF OFFICERS

Section 1 The Chairperson - The Chairperson shall have the following duties:

  1. Preside over all meetings of the Board and at all general membership meetings.
  2. Sign, in the name of the Board, all contracts and documents.
  3. Submit an annual report of the operation of the Association, to the Board, and to the members of the STAAQC during the Annual Meeting and present the highlights during the Homecoming.
  4. Provide guidance to the Homecoming Committee.
  5. Exercise such other duties and powers as the Board may delegate.

Section 2 The Vice-Chairperson - The Vice-Chairperson shall exercise the following duties:

  1. Assume the duties and responsibilities of the Chairperson in case of the latter's absence or incapacity.
  2. Be responsible for overseeing the operations of the Committees except the Homecoming Committee.
  3. Perform such other duties and functions as the Chairperson and/or Board may delegate.

Section 3 The Secretary - The Secretary shall have the following duties:

  1. Record the proceedings of the meetings of the Board and the attendance of the Members thereof.
  2. Perform all duties incident to the Office of the Secretary such as:
    1. 2.1 Recording and maintaining minutes and transactions of all meetings.
    2. 2.2 Attending to the service of notices of the Association's meetings especially the Annual Meeting
    3. 2.3 Updating and submission of all required government reports and documents and the STAAQC's membership roster
    4. 2.4 Writing of correspondences
  3. Oversee periodically the smooth operation of the STAAQC Office.
  4. Perform other duties assigned by the Alumnae Board.

Section 4 The Treasurer - The Treasurer shall exercise the following duties:

  1. Be responsible for all the funds of the Association.
  2. Maintain a complete and accurate record of all accounts and of all receipts and disbursements and all other transactions.
  3. Deposit in the name of the Association in such bank as may be designated by the Board all monies, funds, securities, bonds and similar assets belonging to the Association may come under her control.
  4. Submit to the Board a semi-annual report on the finances of the Association.
  5. Prepare financial reports, statements, certification and other documents which may, from time to time, be required by government rules and regulations and to submit the same to the proper government agencies.
  6. Perform such duties with respect to the finances of the Association as may be prescribed by the Board.

Section 5 The Auditor - The Auditor who must be a Certified Public Accountant or a Regular Member of good standing, shall exercise the following duties:

  1. Examine/audit the records of all accounts of the Council and conduct other audit activities that would safeguard the assets of the Council and ensure the integrity of the financial records and reports.
  2. Call the attention of the Board to expenditures of funds which are irregular, unnecessary, excessive or extravagant.

ARTICLE VIII - ADVISORY COUNCIL

Section 1 Membership - The STAAQC shall have an Advisory Council chosen by the Board. It shall be composed of former Officers, the school guidance coordinator, a moderator connected with the school, and a spiritual adviser.

Section 2 Powers - The Advisory Council shall provide support, wisdom, and a sense of history and continuity to the present Board. The sound and wise counsel of the Advisory Council shall be considered to provide guidance and direction to the projects of the current Board.

Section 3 Limitation of Powers - The members of the Advisory Board shall not have voting rights.

Section 4 Meetings - The Advisory Council shall be invited to attend the STAAQC Board meetings and all other activities of the STAAQC.

ARTICLE IX - OFFICE

Section 1 The Association shall hold office at the first floor of the Mother Marie Louise De Meester Wing of the High School Department of Saint Theresa's College Quezon City located at D. Tuazon Street, Sta. Mesa Heights, Quezon City or at any building selected by the STAAQC Board and designated by STC.

ARTICLE X - FINANCES

Section1 The Association shall have the power to raise funds and look for its own sources of income. The said funds shall exclusively belong to the Association.

Section 2 The Association shall have the option to appropriate funds for its various projects and activities.

Section 3 The Alumnae Board, upon the vote of two-thirds (2/3) of its members, shall have the power to determine the membership fee.

  1. A member can either pay an annual membership fee or a lifetime membership fee.
  2. An alumna who is still pursuing her college degree pays only one-half of the regular membership fee.
  3. Members who belong to a Religious Congregation are exempted from paying their membership fee.

ARTICLE XI - RATIFICATION

Section 1 The Constitution shall take effect immediately upon the ratification by a majority of the votes cast in an plebiscite during an annual or special meeting called for the purpose, provided that copies of the proposed Constitution have been distributed or posted to its members

ARTICLE XII - AMENDMENT

Section 1 This Constitution and By-Laws may be amended or repealed in whole or in part by a vote of two-thirds (2/3) of the members at an annual or special meeting called for the purpose, provided that copies of the proposed amendments shall have been distributed or posted to its members

Section 2 Any amendment to, or revision of, this Constitution may be proposed by the Alumnae Board upon a vote of two-thirds (2/3) of its members.

ARTICLE XIII - CORPORATE SEAL

Section 1 Form - The Corporate Seal of the Association shall be in such form and design as may be determined by the STAAQC Alumnae Board.
